Content Terms and Conditions

Terms and Conditions – User Supplied Video Content

These terms and conditions (“Agreement”) govern the submission and use of video content (“Content”) provided by users (“User” or “You”) to Driven By Dirt (“Platform” or “We” or “Us”). By submitting your Content, you agree to comply with and be bound by the terms and conditions outlined below:

1. Ownership and License:
   
   a. You represent and warrant that you are the rightful owner of the Content, or you have obtained all necessary permissions, licenses, and consents to grant Driven By Dirt a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display the Content in any format or media, including but not limited to the Platform and promotional materials.
   
   b. You acknowledge that Driven By Dirt may edit, modify, or adapt the Content for promotional purposes or to improve user experience on the Platform, without seeking additional consent. This includes the right to add captions, subtitles, watermarks, or other enhancements to the Content.

2. Usage Rights:
   
   a. By submitting the Content, you grant Driven By Dirt the right to host, store, stream, transmit, and make the Content available to users of the Platform. This includes the right to make the Content available for on-demand viewing and live streaming.
   
   b. You understand that the Content may be publicly accessible and viewable by other users of the Platform. However, Driven By Dirt is not responsible for any unauthorized use or sharing of the Content by third parties.

3. Content Guidelines:
   
   a. You agree not to submit any Content that is unlawful, defamatory, obscene, offensive, infringing upon the rights of any third party, or violates any applicable laws or regulations.
   
   b. You are solely responsible for the Content you submit, including any copyrights, trademarks, or intellectual property rights associated with the Content. c. Driven By Dirt reserves the right to remove or refuse to display any Content that violates these terms and conditions, or that is deemed inappropriate, harmful, or objectionable.

4. Non-Exclusivity:
   
   a. You retain ownership of the Content and are free to host and distribute it on other platforms, provided that you do not violate any exclusive agreements with Driven By Dirt.
   
   b. You agree not to host or publish the Content on any other platform without obtaining written consent from Driven By Dirt.

5. Indemnification:
   
   a. You agree to indemnify and hold Driven By Dirt and its affiliates, officers, directors, employees, and agents harmless from any claims, damages, liabilities, costs, or expenses arising out of or related to your submission of Content or any breach of this Agreement. This includes any claims or disputes arising from the unauthorized use or infringement of third-party rights associated with the Content.

6. Privacy and Data Protection:
   
   a. Driven By Dirt respects your privacy and handles your personal information in accordance with applicable data protection laws. Please refer to our Privacy Policy for more information on how we collect, use, and protect your personal data.

7. Modifications:
   
   a. Driven By Dirt reserves the right to modify, suspend, or terminate this Agreement, as well as the Platform’s features and services, at any time without prior notice. Any changes to this Agreement will be effective immediately upon posting on the Platform.

8. Governing Law and Jurisdiction:
   
   a. This Agreement shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of New Zealand.

If you do not agree with any part of these terms and conditions, please do not submit your Content to Driven By Dirt. By submitting your Content, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
